Official Notification to all ASAQS Members - Action Required.

**IMPORTANT–YOUR ACTION IS REQUIRED**

The Association of South African Quantity Surveyors requires your assistance in completing the attached ballot paper.

It is crucial that you please take a moment to assist your association with this imperative project.

*NB- Please ignore this message if you have already completed and returned your ballot paper.

Over the course of the last number of years, the ASAQS has spent much time and energy towards scrutinising and updating   
3 essential ASAQS governance documents, namely:

1. The ASAQS Constitution :

3. The ASAQS Code of Conduct :

In order that these 3 documents are brought into effect and in accordance with the ASAQS’s existing constitution (please see extract below), it is a requirement that all the members of the ASAQS be requested to cast a vote to either accept these changes (or not). Only the Executive Director will receive and count the ballots by return e-mail.

 

Aspecial appealis therefore being made to all members of the ASAQS to please assist the Association with this important ballot by completing the attached ballot paper and returning same (preferably in electronic format) to offices of the Association by no later than the deadline date of  Friday, 30th September 2016.

Statement by the ASAQS Board

It is the view of the ASAQS Board that all the revisions contained within the proposed new ASAQS Constitution, ASAQS Bylaws and the ASAQS Code of Conduct have undergone a comprehensive, responsible and thorough process of scrutiny. Prior to any changes to these 3 documents being proposed to the ASAQS Board they were thoroughly debated by a board appointed committee comprising of senior members and Past Presidents of the ASAQS, and also been vetted and approved by a firm of attorneys to ensure complete compliance and adherence to the highest standards of good governance.

It is the opinion of the Board of the ASAQS that these 3 documents are now ready to be presented to our members and that a secret ballot be conducted amongst the members of our association (in all categories) to effect the proposed amendments.

It is furthermore the unanimous recommendation of the ASAQS Board that these 3 documents be accepted by both the general and professional membership of the ASAQS.

For your convenience we have pasted the pertinent clauses pertaining to the voting process below.

12.1 Amendments to the Constitution:

12.1.1 All proposals for the amendment of the Constitution shall be addressed in writing to the Executive Director.

12.1.2 If the proposed amendment is supported by the Board or by the signatures of not less than 30 members it shall be referred to a secret ballot of all members. Unless otherwise determined by the Board, such secret ballot shall be held within four months of the receipt of such proposal in the manner determined by the President. The Executive Director shall forward to every member with the ballot paper a statement of the views of the Board on the proposal.

12.1.3 The Constitution shall be amended only if -

12.1.3.1 votes are received from not less than one-quarter of the total number of members; and

12.1.3.2 not less than two-thirds of the votes received are in favour of the proposed amendment; and

12.1.3.3 not less than two-thirds of the votes received from professional members are in favour of the amendment.

12.1.4 The terms of any duly approved amendment of the Constitution shall be forwarded to the Minister and the Council.

12.2 Amendment to By-laws:

12.2.1 The Board shall be empowered at any meeting to amend the By-laws; provided that -

12.2.1.1 notice of the proposal to move an amendment of the By-laws be included in the notice convening the meeting of the Board;

12.2.1.2 the amendment must be approved by not less than two-thirds of the members of the Board present at such meeting.

12.2.2 Nothing contained in clause 12.2.1 above shall prevent the Board from holding a referendum in the manner determined by the President on any matters concerning the By-laws.
